PLEASE READ CAREFULLY: THIS CONTRIBUTION AGREEMENT (“AGREEMENT”) IS A LEGAL AND BINDING AGREEMENT BETWEEN YOU AND/OR YOUR ORGANIZATION (“YOU”), AND HEALTHANGLE, INC. (“HEALTHANGLE”). BY CLICKING THE ACCEPT BUTTON BELOW, YOU AGREE TO ALL TERMS AND CONDITIONS OF THIS AGREEMENT.

SUBMISSIONS  

All comments, suggestions, ideas, notes, postings, forums threads, concepts or other information disclosed or offered to HealthAngle by this site or in response to solicitations in this site or by third parties connected to this site (collectively, the “Postings”) shall be deemed and shall remain the property of HealthAngle. None of the Postings shall be subject to any obligation of confidence on the part of HealthAngle and HealthAngle shall not be liable for any use or disclosure of any Postings. HealthAngle has the right to edit and revise the Postings prior to publication. Without limitation of the foregoing, HealthAngle shall exclusively own all now known or hereafter existing rights to the Postings of every kind and nature throughout the universe and shall be entitled to unrestricted use of the Postings for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Postings.

CONTRIBUTOR’S RETENTION OF RIGHTS.

Contributor (“You”) and HealthAngle agree that You retain: (i) the rights to reproduce, to distribute, to publicly perform, and to publicly display the Posting in any medium for noncommercial purposes; (ii) the right to prepare derivative works from the Posting; and (iii) the right to authorize others to make any non-commercial use of the Posting so long as the Contributor receives credit as author and HealthAngle is cited as the source of first publication of the Post. For example, Contributor may post the Posting on personal or institutional Web sites and in other open-access digital repositories.

WARRANTY

1. The Contributor warrants that (i) he/she is the sole creator of the Posting; (ii) the Posting does not infringe any existing third party copyright; (iii) or contain any material or information that is defamatory.
2. The Contributor shall hold harmless and indemnify HealthAngle from any third party claims resulting from the publication of the Posting should there be a breach of this warranty. The warranties contained in this article also apply to any drawing, photograph, illustration, audio file or video file included in the Posting and delivered by the Contributor.
3. Disclaimer: HealthAngle does not warrant that the work will be published.

EFFECTIVE DATE 

“Effective Date” means the date on which you accept this Agreement by clicking the button below.

TERM

 The Agreement will become effective as of the Effective Date and will remain effective in perpetuity.

GOVERNING LAW

This Agreement shall be governed by the law of Massachusetts, as shall all disputes arising under or relating to this Agreement.
